Welcome to GBIshops, an online multi-vendor marketplace owned and operated by Global Brains Integral Ltd (“GBI”, “we”, “our”, or “us”).

By accessing or using our platform (the “Website”), you agree to comply with and be bound by these Terms and Conditions. If you do not agree, please do not use our services.

1. Definitions

  • “Customer” / “Shopper”: Any person purchasing products or services through GBIshops.
  • “Vendor”: Any individual or business listing products or services on GBIshops.
  • “Platform”: The GBIshops website and all related services.
  • “Order”: A confirmed purchase made on the platform after successful payment.

2. Legal Ownership & Role

GBIshops is a platform owned and operated by Global Brains Integral Ltd, a company duly registered in Nigeria.

GBIshops operates as a multi-vendor marketplace, connecting Customers with independent Vendors.

  • We do not manufacture or own most products listed, except where expressly stated as “Sold by GBIshops.”
  • Vendors are solely responsible for the quality, legality, accuracy, and fulfillment of their products.

3. Vendor Registration & Responsibilities

Vendors must:

  • Provide accurate and complete business information
  • Submit required verification documents where applicable
  • Ensure products comply with all applicable laws and regulations (e.g., NAFDAC where required)

Vendors are solely responsible for:

  • Product authenticity and safety
  • Compliance with Nigerian laws
  • Fulfillment and delivery obligations

4. Vendor Code of Conduct

Vendors agree to:

  • List only genuine, lawful, and high-quality products
  • Provide accurate descriptions, pricing, and images
  • Fulfill orders promptly and professionally
  • Communicate respectfully with Customers and GBIshops
  • Honour valid return and refund requests

GBIshops reserves the right to:

  • Remove listings
  • Withhold payouts
  • Suspend or terminate accounts
    in cases of violations, fraud, or misconduct.

5. Product Listings

  • All listings must be accurate and not misleading
  • Counterfeit, illegal, or prohibited goods are strictly forbidden
  • GBIshops may remove or modify listings at its discretion

6. Orders, Payments & Fees

  • All payments must be made in full at checkout before order processing
  • Payments are securely processed via approved payment channels
  • Vendors receive payouts within 10 working days after confirmed delivery, subject to:
    • Refunds
    • Disputes
    • Verification checks
  • Vendor commissions:
    • 8% per successful sale
    • 12% for international vendors (where applicable)

7. Shipping & Delivery

  • Vendors may fulfill orders directly or via approved logistics partners
  • Delivery timelines depend on vendor location and logistics providers
  • Customers are responsible for providing accurate delivery details

8. Returns & Refunds

  • Customers may request returns within 7 days of delivery, subject to eligibility
  • Certain items (e.g., perishables, intimate items, customized products) may not be eligible for return unless defective or incorrect
  • Refunds:
    • Processed after product verification
    • Issued in accordance with the Refund Policy
    • Completed within 5–10 working days after approval

9. Dispute Resolution

  • All disputes between Customers and Vendors will first be handled by GBIshops
  • We aim to resolve disputes within 3–5 working days
  • GBIshops reserves the right to make a final and binding decision where necessary

10. Customer Responsibilities

Customers agree to:

  • Provide accurate personal and delivery information
  • Make full payment before order processing
  • Use the platform lawfully and respectfully

Fraudulent or abusive behavior may result in account suspension or termination.

11. Intellectual Property

  • All platform content (logos, text, design, etc.) belongs to GBIshops or its licensors
  • Vendors grant GBIshops the right to use product images and content for marketing and operational purposes

12. Limitation of Liability

To the fullest extent permitted by law:

GBIshops shall not be liable for:

  • Vendor-related issues (e.g., product defects, misrepresentation)
  • Delivery delays caused by third parties
  • Indirect or consequential losses

Maximum liability shall not exceed the total amount paid for the relevant order.

13. Termination

We reserve the right to suspend or terminate any account that violates these Terms.

Vendor payouts may be adjusted to account for:

  • Refunds
  • Disputes
  • Policy violations

14. Privacy

All personal data is handled in accordance with our Privacy Policy.

By using the platform, you consent to the collection and use of your information for:

  • Transactions
  • Logistics
  • Customer support

15. Amendments

We may update these Terms at any time.

Continued use of the platform constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

All disputes shall be subject to the jurisdiction of Nigerian courts.
