Welcome to GBIshops, an online multi-vendor marketplace operated by Global Brains Integral (“GBI”, “we”, “our”, or “us”). By accessing or using our platform (the “Website”), you agree to comply with and be bound by these Terms and Conditions. Please read them carefully before using our services.
1. Definitions
- “Shopper” or “Customer” refers to any person purchasing products or services through GBIshops.
- “Vendor” refers to businesses or individuals listing products/services for sale on GBIshops.
- “Platform” refers to the GBIshops website and all associated services.
- “Order” means a confirmed purchase made by a Shopper/Customer on GBIshops.
2. Marketplace Role
- GBIshops acts as a marketplace connecting Vendors and Shoppers/Customers.
- We do not own the majority of products sold on the platform unless clearly indicated as “Sold by GBIshops.”
- Vendors are responsible for the accuracy, quality, and legality of their listed products.
3. Vendor Registration & Responsibilities
- Vendors must register and provide accurate business information.
- Vendors must submit proof of business, product quality, and certifications where applicable (e.g., NAFDAC for consumables).
- Vendors agree to pay applicable listing fees and commissions as stated in the Vendor Policy.
- Vendors are solely responsible for ensuring their products are genuine, safe, and compliant with Nigerian laws.
4. Vendor Code of Conduct
Vendors on GBIshops must:
- List only authentic and high-quality products.
- Provide accurate product descriptions, images, and pricing.
- Respond promptly and respectfully to GBIshops’ communications.
- Deliver products on time to logistics partners or directly (if fulfilling orders themselves).
- Avoid abusive, fraudulent, or misleading behavior.
- Respect shoppers/customers’ rights, including honoring returns where applicable.
- Maintain professionalism in all dealings with GBIshops, shoppers/customers, and logistics partners.
Violation of this Code may result in warnings, delisting of products, withholding of payments, or termination of the Vendor account.
5. Product Listings
- Vendors must provide accurate descriptions, images, and pricing.
- False, misleading, or counterfeit products are strictly prohibited.
- Certain items (e.g., illegal drugs, weapons, adult content, counterfeit goods) are not permitted.
- GBIshops reserves the right to remove listings that violate our policies.
6. Orders, Payments & Fees
- All payments from Shoppers/Customers are processed through GBIshops.
- Vendors will receive payment within 10 working days after the successful delivery of products.
- Vendors agree to an 8% commission on every successful sale (international vendors: 12% commission).
- Shoppers/Customers must make full payment at checkout before an order is processed.
7. Shipping & Delivery
- Vendors may fulfil their own orders or use GBIshops’ third-party logistics partners.
- Shoppers/Customers are charged a delivery fee, calculated based on product location and destination.
- Vendors must deliver products to the designated logistics company within the specified timeframe.
8. Returns & Refunds
- Shoppers/Customers have 7 days to request a return if they are unsatisfied with a product, subject to Terms and Conditions.
- Some items (e.g., perishables, intimate products, customized items) are non-refundable unless the product received is different from what was advertised.
- Refunds will be processed once the returned product is received and verified.
9. Disputes
- Any dispute between a Shopper/Customer and Vendor will first be mediated by GBIshops.
- GBIshops reserves the right to make the final decision in order-related disputes.
10. Shopper/Customer Responsibilities
- Shoppers/Customers must provide accurate delivery information.
- Shoppers/Customers agree to pay for products and delivery fees promptly.
- Abusive or fraudulent behavior will result in account suspension.
11. Intellectual Property
- All content on the Website (logos, text, graphics, etc.) belongs to GBIshops or its licensors.
- Vendors retain ownership of their product images but grant GBIshops the right to display them for marketing and sales purposes.
12. Limitation of Liability
- GBIshops is not liable for direct or indirect losses resulting from:
- Product defects or misrepresentation by Vendors.
- Delays caused by Vendors or logistics partners.
- Unforeseen events beyond our control.
- Our maximum liability is limited to the amount paid by the Shopper/Customer for the disputed order.
13. Termination
- GBIshops may suspend or terminate any Vendor or Shopper/Customer account for violating these Terms.
- Outstanding payments due to Vendors will still be processed, subject to deductions for any claims, refunds, or policy violations.
14. Privacy
- All data collected is handled in accordance with our Privacy Policy.
- Vendors and Shoppers/Customers agree to the lawful use of their information for transactions, logistics, and communication.
15. Amendments
- GBIshops reserves the right to update these Terms at any time.
- Continued use of the platform after updates indicates acceptance of the revised Terms.
16. Governing Law
- These Terms are governed by the laws of the Federal Republic of Nigeria.
- Any legal disputes shall be settled in Nigerian courts.
